1. Introduction
The domain name www.fikaa.in (“Website”) and the FIKAA mobile application (“App”) are owned and operated by Keynote Capitals Limited (“KCL”), a company incorporated under the laws of India, having its registered office at The Ruby, 9th Floor, Senapati Bapat Marg, Dadar (W), Mumbai – 400028.
The Website and App are collectively referred to as the “Platform”, and are operated under the brand name “FIKAA”.
FIKAA provides a technology platform that facilitates:
- Access to information on financial products, including mutual funds
- Transaction execution and processing services
- Ancillary services related to investment management
2. Acceptance of Terms
By accessing or using the Platform, you:
- Agree to be bound by these Terms and Conditions (“Terms”)
- Represent that you are at least 18 years of age and legally competent
- Confirm that you have read, understood, and accepted these Terms
If you do not agree, you must not use the Platform.
3. Regulatory Disclosure
- KCL is registered with the Association of Mutual Funds in India (AMFI) (ARN-4844)
- Investments are facilitated through the Mutual Fund Distributor (MFD) route
- Transactions may be executed via platforms such as BSE Star MF
Nothing on the Platform shall be construed as investment advice unless expressly stated under a separate advisory agreement compliant with SEBI (Investment Advisers) Regulations.
4. Definitions (Refined)
- “User” / “You”: Any person accessing or using the Platform
- “Registered User”: A user who has completed onboarding and KYC
- “Services”: All services offered via the Platform
- “Mutual Funds”: SEBI-registered mutual fund schemes
- “Applicable Laws”: All laws, rules, regulations in force in India
- “Force Majeure Event”: Events beyond reasonable control, including system failures, natural disasters, regulatory changes, etc.
5. Nature of Services
FIKAA acts strictly as:
- A facilitator of transactions
- A distributor of financial products
FIKAA:
- Does not guarantee returns
- Does not provide assured outcomes
- Does not act as a custodian of funds or securities
All investment decisions are solely at your discretion and risk.
6. User Eligibility and Account
- Services are available only to Indian residents
- Account activation is subject to successful KYC verification as per SEBI norms
- A Unique Client Code (UCC) may be generated
You agree to:
- Provide accurate and complete information
- Update details as required
- Comply with all applicable laws including PMLA, FEMA, SEBI regulations
7. Platform Usage
You are granted:
- A limited, non-exclusive, non-transferable license to use the Platform
You shall not:
- Copy, reproduce, distribute, or exploit Platform content
- Reverse engineer or tamper with systems
- Use the Platform for unlawful purposes
All intellectual property remains the exclusive property of KCL.
8. Transactions and Execution
- Transactions are processed through third-party platforms (e.g., BSE Star MF, AMCs)
- Execution is subject to:
- Availability of funds
- Cut-off timings
- Applicable NAV
- FIKAA is not responsible for:
- Delays in execution
- Partial execution
- Incorrect NAV applied by AMCs
Transactions once placed may not be cancellable.
9. Payments and Gateway Risks
Payments are processed via RBI-authorized third-party payment gateways.
You acknowledge:
- Transactions may fail due to technical issues
- Banks/AMCs may reject transactions
- Limits may be imposed for risk control
FIKAA shall not be liable for:
- Payment failures
- Delays
- Unauthorized transactions due to user negligence
10. Risk Disclosure
You understand and accept:
- Mutual fund investments are subject to market risks
- Past performance is not indicative of future returns
Risks include:
- Market risk
- Liquidity risk
- Interest rate risk
- Currency risk
- Regulatory risk
- Technology and communication risks
11. No Investment Advice
All content on the Platform:
- Is for informational purposes only
- Does not constitute financial, legal, or tax advice
You should consult qualified professionals before making decisions.
12. Limitation of Liability
To the maximum extent permitted by law:
FIKAA, KCL, and its affiliates shall not be liable for:
- Any direct, indirect, incidental, consequential, or punitive damages
- Loss of profits, data, or investment losses
- Errors, delays, or interruptions in services
Use of the Platform is entirely at your own risk.
13. Indemnity
You agree to indemnify and hold harmless KCL, its directors, employees, and affiliates from:
- Any claims arising from your use of the Platform
- Breach of these Terms
- Violation of applicable laws
14. Data and Privacy
Your use of the Platform is subject to the Privacy Policy.
You consent to:
- Collection and processing of personal data
- Sharing with AMCs, RTAs, regulators, and service providers
FIKAA shall take reasonable steps to protect your data but does not guarantee absolute security.
15. Third-Party Links
The Platform may contain links to third-party websites.
FIKAA:
- Does not control or endorse such websites
- Is not responsible for their content or accuracy
Access is at your own risk.
16. Force Majeure
FIKAA shall not be liable for failure or delay due to Force Majeure Events.
Obligations shall be suspended during such events.
17. Termination
FIKAA may suspend or terminate access:
- With or without notice
- For breach of Terms or regulatory requirements
Termination does not affect accrued obligations.
18. Amendments
FIKAA reserves the right to modify these Terms at any time.
- Changes become effective immediately upon publication
- Continued use constitutes acceptance
19. Governing Law and Jurisdiction
- These Terms are governed by the laws of India
- Courts in Mumbai shall have exclusive jurisdiction
20. Notices
All communication will be sent to registered contact details.
You must report discrepancies within 7 days, failing which records shall be deemed correct.
21. Miscellaneous
- These Terms constitute a binding agreement
- Invalid provisions shall not affect remaining clauses
- Rights not exercised are not waived
22. Grievance Redressal Mechanism

- Transactions
- Account-related issues
- Services offered on the Platform

23. Investor Awareness & Acknowledgment
By using the Platform, you acknowledge that:
- You have read and understood all risk disclosures
- You are investing at your own discretion
- You have not relied solely on the Platform for decision-making
